James B Boyd
Experienced Board Member & Advisor
Qualified Financial Expert
Mr. Boyd is a qualified financial expert with over 20 years of experience at four different small cap public companies. In addition, he has spent over 3 years with two successful VC backed startups. He has worked in technology, agriculture and transportation and run $2.5B+ market cap companies with operations all over the world. His depth of experience includes conducting 20 years of public company earnings calls and investor conferences, 23 years of leading and participating in board and audit committee meetings, internal controls, oversight of audit and ESG functions as well as hundreds of M&A, and debt and equity transactions.
ADVISORY AND COUNSULTING PRACTICE
Mr. Boyd is available to assist companies and people who seek to make a difference. Mr. Boyd believes long-term high growth and profitability is best achieved through teamwork, diversity, respect, consideration, vision, as well as creativity and commitment.
GAAP/SEC/NASDAQ/HR ENVIRONMENT
Mr. Boyd’s specialty is advising public companies, pre-IPO companies, and troubled companies. The current ESG/GAAP/SEC/NASDAQ environment has become very complex. These complications can distract from the rapid execution of critical elements of a business’ strategy unless they are handled quickly, expertly and early on.
ESG EXPERINCE
Prior to retirement, Mr. Boyd chose a CFO position at Marrone Bio Innovations, Inc. (MBII) because he saw a chance to make a real difference in the world. MBII manufactures and markets organic pesticides and plant health products that are a direct and effective replacement for the toxic chemicals currently used in agriculture. There he met a dedicated founder and CEO who was as committed as he was to the environment and good governance. Together, they built a company and culture that is the epitome of ESG principles.
Concern about greenwashing has motivated Mr. Boyd to explore how to implement and measure meaningful ESG change. Mr. Boyd has now started his own consulting business focused on helping good people with good intentions create and run successful responsible small cap companies.
Boardroom
During his 23-year career as a public and private company CFO, Mr. Boyd attended and presented at all Board and Audit Committee meetings. Additionally, he participated in many meetings of both the Compensation, and Nominating and Governance Committees. Mr. Boyd is currently a member of a private board and of a foundation.
LEADERSHIP
As a trusted leader and mentor, Mr. Boyd recognizes individual contributions, high values, positive attitudes and commitment. He created corporate cultures that emphasized team work, honesty, integrity, diversity, equality and fairness. He empowered employees by pushing through good ideas from below, setting up interdepartmental SWAT teams to collectively solve difficult challenges, providing positive, consistent and transparent communication and support, recognizing contribution and integrity, mentoring, and finally, hiring and promoting based on a set of core values. He reenforced all of these efforts through strong policies and procedures which everyone recognized as setting a high bar for personal and corporate responsibility. The challenges and complexities of leading a business, developing a successful business strategy and mentoring the team are what Mr. Boyd excels at; all affirmed by the personal success, tenure and attitudes of the people who worked for him at each of his companies
